What changed in 2.14. Section 3: we or an affiliate may operate accounts, including under pen names, that publish characters and works we create ourselves; their records are made and anchored like any other account's. Anything done through your API key or an AI assistant you authorise — including creating a character and issuing its registry ID — is done by you; an AI assistant can only issue an ID after showing you a summary and receiving your confirmation. Sections 7 and 8: optional one-time character slot packs above the 50 free characters, processed by Polar, refundable within 14 days if unused. Nothing is added to what you already owe or have agreed to; effective on publication.
What changed in 2.13. Section 4B: a character's public page also lists the platform accounts you add yourself, marked as self-declared; verified ones stay marked as verified. Verifying a channel no longer asks you to rename or publish a work. Effective on publication.
What changed in 2.12. Section 4D: a quote is now a post of your own with the quoted item embedded, listed in the item's quotes list rather than among its comments; it has its own likes, comments and reposts and can itself be quoted. Holders choose who may quote them as before. Wording only for the rest; effective on publication.
What changed in 2.11. Section 1: from 12 October 2026 the Service is operated by Chen Law Cultural Enterprise Co., Ltd., a company incorporated in Taiwan, instead of the sole proprietorship that has operated it so far; your account, registrations, registry numbers, deals and records carry over unchanged, and contracts between users in the deal room are not affected. Section 5: zero tolerance for objectionable content and abusive users, and reports are acted on within 24 hours. Sections 7 and 8: a deal fee paid inside our iPhone and iPad app goes through Apple's In-App Purchase, is rounded up to the nearest App Store price point, and is refunded under Apple's policy. New section 17A: terms that apply when you use our apps from the App Store or Google Play. For accounts created from 27 September 2026 these Terms apply from sign-up; for existing accounts, from 12 October 2026.
What changed in 2.10. Section 4D: blocking now applies across the Service (a blocked account cannot follow, like, repost, quote, comment on or message you, and follows between you are removed); API keys also cannot follow, like, post or send messages; we may remove posts, and when we act on a report the reporter and the author are told the outcome. Section 14: a suspended account is hidden from others and cannot post or interact. Existing obligations are unchanged.
What changed in 2.9. Section 9: records are now also shown as a card (a character ID card or a work authorship record card) that you may download and share; the card depicts the record, carries the notice that it is timestamp evidence, and is not a certificate of rights. Nothing else changes.
What changed in 2.8. Section 4D: posts may now include up to four images or one video, and a link shown as a preview. Uploads count toward your storage allowance and must be content you are entitled to share. Existing obligations are unchanged; the new text applies when you post, from publication.
What changed in 2.7. Section 4D adds posts: text, optionally with your own public character or work attached, under the same rules as comments. Existing obligations are unchanged; the new text applies when you post, from publication.
What changed in 2.6. Section 4D now also covers saves, quotes, mentions, liking comments, choosing who can comment and quote, pinning and muting. Existing obligations are unchanged; the new text applies when you use these features, from publication.
What changed in 2.5. New section 4E: we may feature characters and works you have made public in posts promoting the Service on our social media accounts, website, newsletters and presentations, credited to you and linked to the public page. Making an item private or deleting it stops its use in new posts, and you may email us to have an existing post removed. Section 4 now refers to it. Effective on publication.
What changed in 2.4. New section 4D covers the new likes, reposts and comments: a comment is not an objection or a record and changes nothing in the registry; disputes between users are for them to resolve; you are responsible for what you post; holders can delete comments, turn them off and block commenters. Existing obligations are unchanged; the new section applies when you use these features, from publication.
What changed in 2.3. The deal fee for a non-exclusive licence has a lower minimum, US$3 instead of US$15, because the same character can be licensed to many buyers and each licence is usually small. This is what the deal room already charges; the Terms now say so. Section 4B. Effective on publication, since it only lowers a fee.
What changed in 2.2. Wording only, to match what the Service actually does. The Service does not generate images: image generation was withdrawn on 19 September 2026, so the clauses about generation events, consistency scores and non-determinism of generated output now describe model processing — drafting a specification from the images you upload, and evidence checks. Nothing is added to what we collect or claim; each change narrows it. Sections 3 and 12. Effective on publication, since the change removes obligations on you and permissions for us rather than adding any.
What changed in 2.1. A new section 12A states what we will do if we stop operating the Service: ninety days' notice, export and proof packs available until the last day, publication of the anchoring data to a location we do not control, anchors that are not revoked, and no transfer of the registry to anyone who does not assume the same commitments. Section 12A adds obligations on us and takes nothing away from you; it does not change section 12, under which the Service remains provided as is. See the Continuity page.
What changed in 2.0. Works can now be registered on their own, without a character: each gets an authorship record with the attribution you give and, for AI-assisted work, a declaration of your own contribution, anchored on its own and public by default. Binding a work to a character is a separate record. In an assignment, works bound only to that character move with it. Characters with a registry number and registered works appear on the market as “not for sale” unless marked private; putting them up for sale is a separate step. Sections 2, 3, 4A, 4B and 9.

These Terms are the legally binding version. A Traditional Chinese translation is provided for convenience only; in case of conflict, this English version governs.
The Service is operated under the name OpenStela by Chen Law Cultural Enterprise Co., Ltd. (誠律文化事業有限公司, unified business no. 62107935), a limited company incorporated in Taiwan ("OpenStela", "we", "us"). Contact: support@openstela.io.
Name change. The Service operated under the name Avatar Lab at avatar-lab.app until 16 September 2026, when it was renamed OpenStela and moved to openstela.io. The operator, your account, your registrations, registry numbers (AVL-…), deals and records are unchanged. References to "Avatar Lab" in earlier versions of these Terms, in contracts signed before that date, and in anchoring records mean OpenStela. Old addresses redirect for at least one year.
Change of operator. Until 11 October 2026 the Service was operated by OpenStela, a sole proprietorship established in Taiwan. As provided in the earlier version of this section, the business has been incorporated, and from 12 October 2026 the company named above is the contracting party. These Terms, your account, your registrations, registry numbers (AVL-…), deals, records and anchoring history continue with the company unchanged; nothing you have done needs to be repeated. Contracts concluded in the deal room are between users and are not affected.
OpenStela is a registry and marketplace for original characters and the works made with them. You define a character pack — a written specification and the reference images you upload — and the Service issues the character a registry number. You register works — music, video, images, links — with or without a character, and the Service writes an authorship record for each. You may bind a work to a character, and the Service lets you show, license or sell the character with that record attached.
AVL-XXXXXX, fingerprints of the specification, of every work's authorship record and of every binding, a public verification page, and daily anchoring of those fingerprints to a public blockchain (Section 9).We may add, change or withdraw features. Where a change materially reduces what a paid plan provides, we will give notice before it takes effect.
You must be at least 18 years old and legally able to enter into contracts. The Service is not directed at children.
Accounts are created by signing in with Google or GitHub. We only accept a verified email address from those providers, because your quota, files and payments are all attached to the identity derived from that address. You are responsible for the security of the account you sign in with.
You may not share, sell or transfer your account. One human, one account; creating additional accounts to circumvent usage limits is a breach of these Terms.
Accounts operated by OpenStela. We, or an affiliate of ours, may operate accounts — including under pen names — that publish characters and works we create ourselves. Their records are made, fingerprinted and anchored exactly like any other account's; the previous paragraph does not apply to them.
API keys and AI assistants. Anything done through an API key of your account, or through an AI assistant you authorise to use it, is done by you and on your account, as if you had done it in the interface — including creating a character and issuing its registry ID — and the declarations made that way are yours. An AI assistant can only issue a registry ID after showing you a summary of what will be registered and receiving the one-time confirmation code from that step.
You keep ownership. Character specifications, uploaded images and generated outputs remain yours as between you and us. We claim no ownership of them.
Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit and display your content solely to operate and support the Service, and for items you make public, to feature them as Section 4E provides — including transmitting it to the third-party model providers listed in the Privacy Policy so that generation and analysis can be performed. This licence ends when you delete the content, except for backups pending deletion and for anything already anchored to a public blockchain (Section 9).
We do not train models on your images. Images you upload are not used to train any model, ours or anyone else's. We do use metadata about model-processing events — model used, token counts, failure modes — to operate, debug and improve the Service. See the Privacy Policy for detail.
Public content. One endpoint is public by design: the verification link (/api/verify/<fingerprint>). Anyone holding a fingerprint can check when a specification was registered and whether it has changed since. It returns no images, no specification text and no account details. A character with a registry number, and a registered work, each have a public page and appear on the market unless you mark them private (Sections 4A and 4B) — a per-item choice you can change at any time.
What registering a work does. When you register a work, the Service computes a cryptographic fingerprint (SHA-256) of the uploaded file — or, for a link, of a snapshot fetched at the moment of registration — and writes an authorship record: that fingerprint, the attribution you give, the creation date you claim, your declarations under this Section, and the time of registration. The fingerprint of the authorship record is included in the daily batch anchored to a public blockchain (Section 9). This proves the work, exactly as fingerprinted, existed and was registered under that attribution on that date. It does not prove authorship, non-infringement, or any right to sell — the same limits as Section 9. A work does not need a character: it may be registered on its own and bound to a character later, or never.
Binding. You may bind a work to a character you hold. Binding writes a separate binding record — the character's registry number and specification version, the fingerprint of the work's authorship record, and the time — which is anchored on its own (Section 9). Binding does not change the authorship record. A work may be bound to more than one character. The Service does not currently offer unbinding; deleting the work (below) ends its display, not its records.
Links are snapshots. Content behind an external link (e.g. Instagram, YouTube) can be changed or removed by its host at any time. What is certified is the snapshot taken at registration, and the Service says so wherever a linked work is displayed.
Your declarations. Registering a work requires you to declare: (a) that it is your own work or that you hold the rights to publish it — for music, that you hold both the composition and the recording rights; (b) the attribution, meaning the name under which the work is published, which may be a pen name you are entitled to use; and (c) whether the work was made with AI tools and, if so, what you yourself contributed (for example lyrics, the creative choices in your prompts, arrangement, editing). Declarations (b) and (c) form part of the authorship record: they are stored with a timestamp, their fingerprint is anchored, they cannot be edited afterwards (a corrected declaration requires a new registration), and while the work is public they are shown on its public page. We ask for (c) because, in most jurisdictions, only the human contribution to AI-assisted material is protected (Section 10); a record that says nothing about it would be of little use to you later. A false declaration, or registering a work you have no rights to, is a breach of these Terms and may lead to removal and account action.
Public by default. A registered work is shown on your public page and on its own public page unless you switch it off, at registration or at any time later. Switching a work off hides it; it does not change or withdraw any record. The public pages show the authorship record, the fingerprints, the anchoring status and the characters the work is bound to; they do not show your private notes.
Deletion. Deleting a work removes the file from the Service. The authorship record, any binding record and the blockchain anchoring cannot be recalled: anyone holding a fingerprint can still verify that it was registered on a given date. The verification endpoint will say the work has since been deleted.
Evidence records. For each work bound to a character the Service runs a set of automated checks on how the work relates to that character — whether the work's dates fall after the character's registration, how the linked page presented the work when it was registered (title, channel, date), what rights you declared, and how long the work has been shown publicly. The Service does not compare the content of a work against the character — no marker detection, palette comparison or likeness scoring — and does not judge whether a work "looks like" the character. Each check is recorded separately with one of four results — pass, partial, fail or not applicable — a timestamp and the method version used, and its fingerprint is anchored (Section 9). Checks are evidence, not findings. They are performed by software on the material available at the time, can be wrong in either direction, are not reviewed by a person, and do not establish authorship, ownership or non-infringement. A fail is not an accusation and a pass is not a certificate. Evidence records are never altered after the fact; a later run adds a new record.
Channel verification. You may verify that you control a channel (a website, a social or video account) by placing a one-time code where the Service tells you to. Verification records that the code was found at that location on that date; it lapses after 90 days unless renewed, and it does not establish that you own the content published there. Works you link from a verified channel inherit the channel's verification status for display purposes only.
Storage and limits. There is no limit on the number of works per account or per character. Uploaded files count against your storage allowance (Section 7); links count only for the size of the snapshot taken. Registration of a new upload is refused, not silently truncated, when the allowance is full. A daily limit on the number of registrations applies to prevent abuse and is shown in the Service.
Works move with a character. When a character is assigned through the deal room (Section 4B), the works bound only to that character move to the buyer's account with it — file, authorship record and binding record — and a transfer line is added to each work's history. The authorship record is not rewritten: it continues to name the original registrant. A work bound to more than one character stays in your account; the character's public page says so before any deal is opened. From signature until the transfer completes, works bound to the character are locked like the pack itself (Section 4B).
Infringement reports. If a registered work or a listed character infringes your rights, follow the procedure in Section 4C.
Public by default; for sale by choice. Once a character has a registry number it appears on the market and has a public page, marked not for sale, unless you mark it private. Registered works appear on the market the same way (Section 4A). Anyone interested may contact you through the Service's message threads. Putting a character up for sale or licence — choosing that mode, with or without an asking price — is a separate step and is an invitation to negotiate only, not an offer. You may only offer a character you hold; a character under an exclusive licence, or locked in a pending deal, cannot be offered. Works are not sold through the deal room; they change hands only together with a character they are bound to (Section 4A).
The deal room. The Service provides a deal room in which the parties may draft a contract from the Service's standard templates (an assignment or an exclusive licence), adjust the parameters and optional clauses those templates expose, add their own clauses, negotiate revisions, and sign electronically. Each signature is recorded against the SHA-256 fingerprint of the exact text signed; a change to the text after one party has signed voids that signature. You agree that an electronic signature given in the deal room is your signature for the purposes of the U.S. Electronic Signatures in Global and National Commerce Act, the Uniform Electronic Transactions Act, Regulation (EU) No 910/2014 and equivalent laws, and that the signed text is a written instrument for the purposes of 17 U.S.C. § 204(a) and equivalent writing requirements.
Templates are not legal advice. The standard templates are general-purpose documents drafted for transactions between creators, primarily with United States law in mind. They are provided as-is. Whether a template suits your transaction, the parameters you choose, and any clause you add or edit are your own responsibility and are not reviewed by the Service. The Service is not a party to any contract concluded in the deal room and is not your lawyer.
Payment stays between the parties. The Service does not process payments, hold funds or act as escrow. The buyer records in the deal room that payment has been sent; the seller records that it has been received. Deal fee. When a deal reaches the transfer step, the Service charges the seller a deal fee of 5% of the agreed price, minimum US$15, or US$3 for a non-exclusive licence (prices agreed in a currency other than US dollars are charged the applicable minimum). The fee pays for the Service executing the transfer, checking every file against the signed manifest and anchoring the record; it is shown in the deal room before signature and again before payment, and the transfer runs once it has been paid. No fee is charged for registration, showcase listings, opening a deal room, signing, or a cancelled deal. The fee is a charge for the Service's own work and is not a share of the sale price, which the Service never receives.
Lock and execution. From the moment both parties have signed, the seller's character pack, and the works bound to it, are locked: their files cannot be changed, no work can be newly bound to the character and no bound work deleted, until the transfer completes or the deal is cancelled. When the seller confirms receipt of payment, the Service executes the agreed transfer automatically. For an assignment it moves the character pack — files, works, evidence records and registry number — together with the works bound only to that character (Section 4A), from the seller's account to the buyer's, leaving the seller a read-only record without files. For an exclusive licence it delivers a copy of the pack to the licensee, marks the licensor's character as exclusively licensed for the term, and removes the copy when the term ends. In both cases the event is appended to the registry record and the fingerprints of the signed contract and of the transfer event are anchored on the next daily batch (Section 9). The contract text itself is never published.
Acceptance and disputes. After execution the buyer has an acceptance window (72 hours unless the contract states otherwise) in which the Service's machine acceptance check — a per-file fingerprint comparison of what was delivered against what was frozen at signature — is available to both sides. A dispute raised in the deal room within that window freezes the transaction for our review. We may uphold the transfer, reverse it, or cancel the deal, based solely on the machine check and the deal record. That decision governs only what the Service does with the accounts and records concerned; it is not an adjudication of the parties' rights, which remain governed by their contract and the law. We do not resolve disputes about payment, quality or fitness, and we do not recover funds.
What goes public. Listing a character makes its public page visible to anyone: reference images, identity markers, registered works and their public evidence summary, the channels you add (marked self-declared or verified), and the registry record including its history of transfers and licences by platform handle. The full specification text, per-platform prompts, your original import prompt and the detail of evidence records remain private. Visibility is on by default once a character has a number and can be switched off per character at any time; switching it off hides the page and the market entry but withdraws no record.
Contact details. If you add a contact method to a listing, it is shown publicly. Beware of impersonation and off-platform scams; we never ask either side to pay us to complete a sale.
We respond to notices of alleged copyright infringement in accordance with the notice-and-takedown procedure of the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512) and apply the same procedure worldwide.
Designated agent. Our agent for receiving copyright notices, as registered in the U.S. Copyright Office's DMCA Designated Agent Directory (registration no. DMCA-1079983), is:

Sending a notice. Send your notice to the designated agent, preferably by email with the subject line "Copyright notice", including: (1) identification of the copyrighted work you claim is infringed; (2) the URL, registry number or fingerprint of the material you claim is infringing; (3) your name, address, telephone number and email address; (4) a statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent or the law; (5) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorised to act for the owner; and (6) your physical or electronic signature. Incomplete notices may not be acted on.
What we do. On receipt of a valid notice we remove or disable access to the material, notify the account holder and forward the notice to them. The registry record is not deleted — a public blockchain cannot be edited — but the verification endpoint will state that the material was removed following a complaint.
Counter-notice. An account holder who believes material was removed by mistake or misidentification may send a counter-notice to the same address containing: identification of the material and its former location; a statement under penalty of perjury of good-faith belief that it was removed by mistake or misidentification; consent to the jurisdiction of the federal district court for their address (or, if outside the United States, of any judicial district in which we may be found) and to accept service from the complainant; and their name, address and signature. We forward counter-notices to the complainant and may restore the material in not less than 10 and not more than 14 business days unless the complainant informs us that it has filed a court action.
Repeat infringers. We terminate, in appropriate circumstances, the accounts of users who are repeat infringers. Knowingly sending a false notice or counter-notice may make you liable for damages under 17 U.S.C. § 512(f) and equivalent laws.
Posts. If you have a public profile address you may publish posts: text, optionally with one of your own public characters or works attached, up to four images or one video, and a link. When you add a link we fetch the linked page to build a preview (title, summary and image), which is stored with the post; links to YouTube, StreetVoice, Suno and SoundCloud play in that platform's own player. Only upload images and videos you are entitled to share; uploads count toward your storage allowance. Posts appear on your profile and in your followers' feeds, and others may like, comment on, repost, quote, save and report them. You may delete your own posts at any time; deleting a post removes it. Everything in this section about comments — responsibility, the licence you grant, moderation and the fact that it changes nothing in the registry — applies to posts in the same way. Posts are not anchored.
What they are. You may like, save, repost, quote and comment on characters and works that are public on the Service, like comments, and mention other users by their profile address. A repost shows the item to your followers with its holder named; a quote is a post of your own with the item embedded, listed in the item's quotes list, with its own likes, comments and reposts; if the quoted item is deleted, made private or its account suspended, the quote post remains but no longer displays that item. Neither copies the item or gives you any rights in it. Saves are private. When an item stops being public, likes, saves, reposts, quotes and comments on it stop being shown.
Comments are conversation, not records. A comment is not an objection, a notice or a claim. It does not change the registry record, any evidence check or any anchored fingerprint, and it is never anchored. The Service does not decide disputes between users about who made, holds or has rights in a character or a work; those are for the parties to resolve between themselves, including through the courts. Copyright complaints follow Section 4C.
Your responsibility. You are responsible for what you post. Do not post content that is unlawful, infringing, defamatory, harassing or deceptive, advertising unrelated to the item, or another person's personal data. You keep any rights you have in your comments and grant us a worldwide, non-exclusive, royalty-free licence to host and display them on the Service for as long as they remain posted.
Moderation. Commenting and quoting require a public profile address. The holder of a character or work may choose who can comment on and quote it (everyone, their followers, people they follow, or no one), pin a comment, delete comments under it, and block accounts. Any user may block another account: the blocked account can no longer follow, like, repost, quote, comment on or send messages to the blocking user, follows between the two are removed, and each stops seeing the other in feeds and search; a blocked account is not notified. Any user may mute another account, which only changes what the muting user sees and is notified about. We do not review comments before they appear and are not responsible for their content, but we may remove comments and posts or restrict commenting, including after a report, and may act under Section 14 against repeated abuse. When we act on a report we tell the reporter the outcome (not who was reported), and we tell the author when their comment or post is removed and why. API keys cannot follow, like, comment, quote, repost, post, save, mute, block or send messages. A deleted comment's text is deleted, not hidden; when you delete your account, your comments are deleted in the same way.
Licence to feature. You grant us a worldwide, non-exclusive, royalty-free licence to reproduce and display any character or work you have made public on the Service, and to crop, resize, frame and caption it without otherwise altering it, in posts promoting the Service on our social media accounts, website, newsletters and presentations. You grant this licence only to the extent of the rights you hold.
Credit. We will credit you by your display name and link to the item's public page.
Stopping it. If you make the item private or delete it, we will not use it in new posts. You may ask us to remove an existing post featuring your character or work by emailing support@openstela.io, and we will remove it.
You must not use the Service to create, upload or generate:
You must also not: circumvent usage limits or rate limits; scrape, resell or redistribute the Service or its outputs as a competing service; probe or attack the infrastructure; or use automated means to create accounts.
You warrant that you hold all rights necessary for the material you upload, including the consent of any identifiable person depicted in it. You agree to indemnify us against third-party claims arising from your breach of this Section.
Zero tolerance. There is no place on the Service for objectionable content or abusive users. Anyone can report a character, work, post, comment or account, and block another account (section 4D). We act on reports of objectionable content within 24 hours: content that breaks this section or section 4D is removed, and the account responsible may be suspended or terminated.
We may suspend or terminate an account that breaches these rules. Where the breach is not serious, we will normally warn first.
Adapter packs are provided so you can use your character on platforms we do not operate. Your use of those platforms is governed by their terms, not ours. We do not operate your account on any platform that lacks an official API, and we will never ask for the credentials of such an account.
Platform behaviour changes without notice. The guidance we provide is based on our own testing at a point in time and is offered without warranty that it still holds.
Registration is free. Registering characters, binding works, contracts, the deal room, messages and anchoring cost nothing. Each account is subject to usage limits (number of characters, storage for uploaded works, and a daily limit on imports) shown in the Service. The first 50 characters on an account are free; for the other limits, if you reach one in good faith, write to support@openstela.io.
Character slot packs (optional). Above 50 characters you can buy one-time slot packs: +15 characters for US$4.99, +50 for US$12.99, +100 for US$19.99. Packs stack, do not expire and stay on the account. They are not a subscription and nothing renews.
Apart from optional slot packs, the only charge is the deal fee described in section 4B, paid by the seller when a deal reaches the transfer step. Current rate and minimum are shown in the Service and in the deal room.
Legacy subscriptions and credits. Subscriptions, character-slot add-ons and credit packs sold before 19 September 2026 are no longer offered. Character slots purchased under those plans remain on the account. Credit balances no longer have a use in the Service; if you bought a credit pack and have an unused balance, contact support and we will refund it.
Payment processing. The deal fee and slot packs are processed by Polar Software Inc. acting as Merchant of Record. This means Polar, not OpenStela, is the seller of record for that payment: Polar handles payment, invoicing, and any applicable sales tax or VAT. Polar's terms and privacy policy apply to the payment itself. Polar processes only the fee and slot packs; the sale price is settled between buyer and seller and never passes through Polar or the Service.
Paying in our iPhone and iPad app. If you pay the deal fee inside the OpenStela app for iPhone or iPad, the payment is made through Apple's In-App Purchase: Apple, not Polar or OpenStela, processes it under Apple's terms. App Store prices come in fixed steps, so the amount charged in the app is the fee under section 4B rounded up to the nearest available App Store price point; the exact amount is shown before you confirm. The sale price itself never passes through Apple.
Prices are stated in US dollars and exclude any tax Polar or Apple is required to add at checkout.
A deal fee is not refundable once the transfer has run, because the work it pays for — moving the pack, checking every file, anchoring the record — has been performed. If the transfer fails and cannot be completed, or the deal is reversed by the Service under section 4B, the fee is refunded in full.
Three qualifications, which apply regardless of the sentence above:
Slot packs are refunded on request within 14 days of purchase, as long as none of the pack's slots has been used — that is, the account has not gone above the character limit it had before the purchase. After that, a pack is not refundable, because the slots have been delivered. The qualifications above apply to slot packs as well.
If you were charged in error, contact support@openstela.io — those cases are handled on their merits, not by this policy.
Each character pack may be issued an identifier (AVL-XXXXXX) and a registry record. The
record holds cryptographic hashes (SHA-256) of the character's specification (not of its
images) in each version, of each work's authorship record and each binding record, of each evidence and
channel record, and of each signed contract and transfer event (Section 4B). A work registered without a
character has its own record and anchoring in the same way. Hashes are batched daily into a
Merkle tree and the tree root is written to a public blockchain (Arbitrum One).
Record cards. A record is also shown as a card — a character ID card, or an authorship record card
for a work (numbered W- followed by the work's identifier; this is a display format, not a separate
number). The card shows the fingerprint when the record is created; the transaction and Merkle root are filled in
after the daily batch. You may download and share it. The card only depicts the record: everything in this section
about what a record does and does not prove applies to it, and it carries the notice "timestamp evidence, not
proof of rights or authorship". Do not present it as a certificate of copyright, ownership or authorship.
What this proves: that a specific piece of data — a specification, an authorship record, a work binding, an evidence result, a contract text — existed, in exactly this form, at or before the time of that transaction, and that the record has not been altered since.
What this does not prove, and what we do not claim:
The registry record follows the character; it is not itself for sale. The registry number cannot be sold, given away or moved to another character, and cannot be split from the character's files and works. When a character is assigned through the deal room (Section 4B), the whole character — files, works, evidence and registry record, and the works bound only to it (Section 4A) — moves to the new holder's account and the transfer is appended to the record's history; the number stays the same. Under an exclusive licence the record stays with the licensor and the licence event is appended. Any purported transfer of a registry number outside the deal room has no effect as far as the Service is concerned and is not reflected in the record.
We do not hold any digital asset on your behalf. The wallet used for anchoring exists only to pay transaction fees.
Anchored data cannot be deleted. A public blockchain is append-only. The anchored value is a 32-byte hash root and contains no personal data and no readable content, but it will remain on that chain permanently, including after you delete your account. The underlying files, specification text, authorship records and evidence detail are held by us and are deleted with your account.
In many jurisdictions, including the United States, the European Union and Taiwan, material generated by an AI system without sufficient human creative input may not attract copyright protection at all. The U.S. Copyright Office has stated that it will not register works whose expressive elements were produced by AI without human authorship, and that a character is protectable only to the extent it is delineated by human creative choices. Nothing in the Service changes that. We make no representation that any output you produce, or any character you register, is protectable; the Character ID, evidence records and anchoring do not alter its legal status; and a character's provenance log — which parts are human-authored and which are AI-generated — is your own declaration, not our finding. A buyer or licensee should read that log before contracting.
For as long as your account is active you may download your character packs — specification, reference images and adapter packs — from the interface, in open formats. This is a deliberate design commitment: the product's premise is that a character is portable, so lock-in through data retention would contradict it. A complete copy of everything held under your account — including model-processing events and consent records — can be downloaded at any time from Settings → Your data. Requests by email to support@openstela.io remain available.
The Service is provided on an "as is" and "as available" basis. It runs on shared infrastructure and includes queueing and daily caps; capacity is not guaranteed. We do not commit to any uptime level or service-level agreement.
The Service does not generate images. Where it does use a model — drafting a specification from the images you upload, and running evidence checks — the model is non-deterministic, and we do not guarantee any particular draft or check result.
This section states what we will do if we decide to stop operating the Service. It does not qualify section 12: we still make no commitment as to uptime, and nothing here should be read as a promise that the Service will continue.
Nothing in this section creates an obligation to continue operating the Service, to restore it after closure, or to preserve any file other than the anchoring data described above. Your own copies remain your responsibility, and section 11 exists so that you can take them at any time.
To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
Our total liability to you for all claims arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) US$100.
We are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or goodwill.
Nothing in these Terms excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded — including the mandatory rights of consumers under the Taiwan Consumer Protection Act and equivalent laws elsewhere.
You may stop using the Service at any time, and may request deletion of your account and its contents by writing to privacy@openstela.io (see the Privacy Policy for how deletion requests are handled).
We may suspend or terminate access where you materially breach these Terms, where required by law, or where continued operation would expose us or other users to legal risk. On termination we will, absent legal obligation to the contrary, delete your content in accordance with the Privacy Policy — except anything already anchored to a public blockchain, which cannot be deleted. While an account is suspended, its profile, posts and comments are not shown to others and it cannot post, comment, interact or send messages; its data is kept, and lifting the suspension restores it. The account holder is shown the reason.
We may amend these Terms. For material changes we will give notice by email or in-product at least 14 days before they take effect, and continued use after that date constitutes acceptance. If you do not accept a change, your remedy is to stop using the Service and cancel any subscription.
These Terms are governed by the laws of Taiwan (Republic of China), without regard to conflict-of-laws rules. The Taiwan Taipei District Court is agreed as the court of first instance for any dispute between you and us, save that if you are a consumer, this does not deprive you of the protection of mandatory provisions of the law of your country of residence, nor of the right to bring proceedings in the courts of that country where the law so provides.
Talk to us first. Before starting proceedings, please write to support@openstela.io describing the dispute. We will respond within 30 days and try to resolve it informally. This step is not a condition of your legal rights.
Contracts between users. This Section governs only disputes between you and us. Contracts concluded in the deal room carry their own governing-law and forum clause chosen by the parties; the standard templates default to the law and courts of the State of New York.

Questions, complaints and claims about the app go to support@openstela.io. If you use our app from Google Play, Google Play's terms also apply to the download and to any payment made through Google Play.
These Terms, together with the Privacy Policy, form the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remainder stands. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these Terms; we may assign them to a successor entity on notice to you.

本服務以「OpenStela」之名,由誠律文化事業有限公司(統一編號 62107935,設立於台灣之有限公司)提供並營運(下稱「本平台」)。聯絡方式:support@openstela.io。
更名。本服務於 2026 年 9 月 16 日前以「Avatar Lab」之名於 avatar-lab.app 營運,自該日起更名為「OpenStela」並移至 openstela.io。營運者、使用者帳號、登錄、登錄編號(AVL-…)、交易與紀錄均不變。舊版條款、該日前簽署之契約及上鏈紀錄中所稱「Avatar Lab」,即指 OpenStela。舊網址至少保留一年轉址。
營運者變更。本服務至 2026 年 10 月 11 日止由設立於台灣之獨資商號 OpenStela 營運。依本條前版所定,該事業已完成公司登記,自 2026 年 10 月 12 日起,契約相對人變更為前項之公司。本條款、使用者帳號、登錄、登錄編號(AVL-…)、交易、紀錄及錨定履歷均由該公司原樣承接,使用者無須重新辦理任何事項。交易室內成立之契約係使用者間之契約,不受影響。
OpenStela 是原創角色及其相關作品之登錄簿與交易市集。使用者建立角色包——文字規格及使用者上傳之參考圖——由本平台核發角色登錄編號;使用者登錄作品——音樂、影片、圖文、連結——不以角色為前提,由本平台就每件作品寫入著作紀錄;使用者得將作品綁定至角色,並得連同該等紀錄展示、授權或出售該角色。
AVL-XXXXXX 格式編號、規格指紋、各作品著作紀錄與各綁定紀錄之指紋、公開驗證頁面,以及該等指紋每日錨定至公有區塊鏈(第九條)。本平台得新增、變更或終止功能。變更如將實質減損付費方案既有內容,將於生效前通知。
使用者須年滿 18 歲且具備締約能力。本服務非以兒童為對象。
帳號以 Google 或 GitHub 登入建立。本平台僅接受上開提供者回傳之已驗證 email,因為額度、檔案與付款均掛在該 email 推導出的身分上。使用者應自行維護所用登入帳號之安全。
不得分享、出售或轉讓帳號。一人一帳號;為規避使用上限而另行申請帳號者,構成違約。
本平台營運之帳號:本平台或其關係企業得營運帳號(含以筆名),發表其自行創作之角色與作品。該等帳號之紀錄,其作成、指紋與錨定均與一般帳號相同;前段規定於該等帳號不適用。
API 金鑰與 AI 助理:經由使用者帳號之 API 金鑰,或經使用者授權使用該帳號之 AI 助理所為之一切行為——包括建立角色及發放登錄編號——均視為使用者本人於其帳號所為,如同於介面操作;以此方式所為之聲明均屬使用者之聲明。AI 助理須先向使用者顯示即將登錄內容之摘要,並取得該步驟產生之一次性確認碼,始得發放登錄編號。
權利歸屬不變:角色規格、上傳圖片與生成結果,在使用者與本平台之間,權利仍屬使用者。本平台不主張任何所有權。
授權範圍:使用者授予本平台全球、非專屬、免權利金之授權,僅為營運及支援本服務之目的(使用者設為公開之項目,另得依第四之五條介紹),得託管、儲存、重製、傳輸及顯示使用者內容——包含將其傳輸至隱私權政策所列之第三方模型提供者,以執行產製與分析。使用者刪除內容時本授權即終止,但待刪除之備份,以及已錨定至公有區塊鏈者(第九條)不在此限。
不以使用者圖片訓練模型:使用者上傳之影像,不用於訓練本平台或任何第三方之模型。本平台確有利用模型處理事件之中繼資料(所用模型、token 數、失敗模式)以營運、除錯與改善服務,詳見隱私權政策。
公開內容:本服務僅有一個端點係設計為公開,即驗證連結(/api/verify/<指紋>)。任何持有指紋者均得查驗某份規格之登記時間及其後有無變更;該端點不回傳圖像、規格內容或帳號資訊。已取得登錄編號之角色及已登錄之作品,各有公開頁面並刊登於市集,除非使用者將其標為不公開(第四之一條、第四之二條)——逐件選擇,隨時可改。
登錄的效果。登錄作品時,本平台就上傳檔案計算密碼學指紋(SHA-256)——連結型作品 則就登錄當下擷取之快照計算——並寫入一份著作紀錄:該指紋、使用者所填之署名、所聲明之 創作日、本條所定之各項聲明,以及登錄時間。著作紀錄之指紋併入每日批次錨定於公有區塊鏈(第九條)。此舉證明 該作品(以指紋所示之原貌)於該日以該署名存在並登錄;不證明著作人身分、不證明未侵權、亦不證明 有權出售,界限與第九條相同。作品不以角色為前提:得單獨登錄,其後再綁定至角色,或始終不綁定。
綁定。使用者得將作品綁定至其持有之角色。綁定另寫入一份綁定紀錄——角色 登錄編號與規格版本、該作品著作紀錄之指紋,以及綁定時間——並獨立錨定(第九條)。綁定不變更著作紀錄。同一 作品得綁定至多個角色。本服務現階段不提供解除綁定;刪除作品(見下)僅停止顯示,不撤回任何紀錄。
連結即快照。外部連結(如 Instagram、YouTube)之內容得隨時遭其平台變更或移除。 受存證者為登錄當下之快照,本服務於顯示連結型作品處均予明示。
使用者之聲明。登錄作品須聲明:(一)其為本人創作或已取得刊登權利,音樂作品須分別確認 詞曲及錄音之權利;(二)署名,即該作品公開發表所用之名義,得為使用者有權使用之筆名; (三)該作品是否以 AI 工具生成,如是,使用者本人之貢獻為何(例如歌詞、提示詞中之創作選擇、 編曲、剪輯)。第(二)、(三)項聲明構成著作紀錄之一部:連同時間戳儲存、其指紋予以錨定、事後不得修改 (更正須重新登錄),且於作品公開期間顯示於其公開頁面。要求第(三)項聲明之理由在於:多數法域僅保護 AI 輔助內容中人之貢獻(第十條),對此隻字未提之紀錄,日後對使用者幾無助益。不實聲明或登錄無權利之作品, 構成違反本條款,得移除並為帳號處置。
預設公開。已登錄之作品顯示於使用者之公開頁面及該作品自身之公開頁面,除非使用者於登錄時 或其後任何時候將其關閉。關閉僅隱藏作品,不變更亦不撤回任何紀錄。公開頁面顯示著作紀錄、指紋、錨定狀態及 所綁定之角色;不顯示使用者之私人備註。
刪除。刪除作品即自本服務移除檔案。著作紀錄、綁定紀錄及區塊鏈錨定均無法收回:任何持有 指紋之人仍可驗證其曾於某日登錄;驗證端點將註明該作品其後已刪除。
佐證紀錄。就每件已綁定至角色之作品,本平台執行一組自動化檢驗,記錄作品與該角色之關聯——作品日期是否晚於角色登錄、所連結頁面於登錄當時如何呈現該作品(標題、頻道、日期)、使用者所聲明之權利,以及作品公開展示之期間。本平台不比對作品內容與角色——不進行特徵偵測、色票比對或相似度評分——亦不判斷作品是否「像」該角色。每項檢驗分別記錄,結果為通過、部分、未通過或不適用四者之一,附時間戳與方法版本,其指紋並予錨定(第九條)。檢驗屬證據方法,非認定。檢驗由軟體就當時可得之素材執行,兩個方向皆可能出錯,未經人工審閱,不足以認定著作人身分、權利歸屬或未侵權。未通過非指控,通過亦非證書。佐證紀錄作成後不再更動;再次執行者另立新紀錄。
管道驗證。使用者得依本平台指示,將一次性驗證碼置於指定位置,以驗證其對某一管道(網站、社群或影音帳號)之控制。驗證所記錄者為該碼於該日在該處被找到;除非更新,90 日後失效;且不證明使用者擁有該處所發布之內容。自已驗證管道連結之作品,僅於顯示上承接該管道之驗證狀態。
儲存空間與限制。每個帳號或角色之作品件數不設上限。上傳檔案計入使用者之儲存額度(第七條);連結型作品僅計其快照之大小。額度用罄時,新上傳之登錄將被拒絕,而非默默截斷。為防止濫用,每日登錄次數設有上限,並於本服務中顯示。
作品隨角色移轉。角色經交易室讓與時(第四之二條),僅綁定於該角色之作品隨同移轉至買方帳號——檔案、著作紀錄及綁定紀錄一併移轉,並於各該作品之履歷加註一筆移轉。著作紀錄不改寫,仍載明原登錄人。綁定至多個角色之作品留於使用者帳號;角色公開頁面於任何交易開啟前即已標明。自簽署起至移轉完成止,綁定於該角色之作品與角色包同受鎖定(第四之二條)。
侵權通報。如已登錄之作品或已刊登之角色侵害使用者權利,請依第四之三條之程序辦理。
預設公開,出售另行選擇。角色取得登錄編號後即刊登於市集並具公開頁面,標示為未上架,除非使用者將其標為不公開。已登錄之作品亦同(第四之一條)。有意者得經由本服務之訊息串聯繫使用者。將角色標為出售或授權——選擇該模式,不論有無意向價——係另一步驟,且僅屬要約之引誘,非要約。使用者僅得就其所持有之角色為之;處於專屬授權期間或已於進行中交易鎖定之角色不得標為出售或授權。作品不經交易室出售,僅隨其所綁定之角色一併移轉(第四之一條)。
交易室。本服務提供交易室:雙方得以本服務之標準範本(讓與或專屬授權)擬定契約、調整範本所開放之參數與選用條款、自行增列條款、往返修訂並以電子方式簽署。每次簽署均記錄於所簽文本之 SHA-256 指紋;一方簽署後文本如有變更,該簽署即失效。使用者同意於交易室所為之電子簽章,就美國《全球暨全國商務電子簽章法》、《統一電子交易法》、歐盟第 910/2014 號規則及其他相當法律而言,為其本人之簽章;所簽文本並為 17 U.S.C. § 204(a) 及相當之書面要件所稱之書面文書。
範本非法律意見。標準範本係為創作者間交易所擬之通用文件,主要以美國法為基礎,按現狀提供。範本是否適合使用者之交易、所選參數、以及自行增修之條款,均由使用者自負其責,本服務不予審閱。本服務非交易室內所成立任何契約之當事人,亦非使用者之律師。
價金由雙方自行收付。本服務不經手價金、不保管款項、不提供履約保證。買方於交易室記錄已付款;賣方記錄已收訖。成交手續費。交易進入移轉階段時,本服務向賣方收取成交手續費:約定價金之 5%,最低美金 15 元;非專屬授權最低美金 3 元(以美元以外幣別約定價金者,收取該類交易之最低額)。該費用係本服務執行移轉、逐檔比對簽署時清單及錨定紀錄之對價;於簽署前及付款前均於交易室顯示,付訖後始執行移轉。登記、展示刊登、開啟交易室、簽署或已取消之交易,均不收費。手續費為本服務自身服務之對價,並非價金之分配——本服務從不收受價金。
鎖定與執行。自雙方均完成簽署起,賣方之角色包及綁定於該角色之作品即鎖定:在移轉完成或交易取消前,其檔案不得變更,不得新綁定作品,亦不得刪除已綁定之作品。賣方確認收訖後,本服務自動執行約定之移轉。讓與者,將角色包——檔案、作品、佐證紀錄與登錄編號——連同僅綁定於該角色之作品(第四之一條),自賣方帳號搬移至買方帳號,賣方僅留無檔案之唯讀紀錄;專屬授權者,交付角色包副本予被授權人,於授權人之角色標記專屬授權期間,並於期滿移除該副本。兩者均於登錄履歷附記該事件,並將已簽契約與移轉事件之指紋於次一每日批次錨定(第九條)。契約本文本身絕不公開。
驗收與爭議。執行後買方有驗收期間(除契約另有約定外為 72 小時),期間內雙方均可使用本服務之機器驗收比對——就交付內容與簽署時凍結之清單逐檔比對指紋。於該期間內在交易室提出之爭議,將凍結該筆交易交由本平台審視。本平台得僅依機器比對結果與交易紀錄,維持移轉、回復原狀或取消交易。該決定僅拘束本服務對相關帳號與紀錄之處置;並非對雙方權利之裁決,雙方權利仍依其契約與法律定之。本平台不處理價金、品質或適用性之爭議,亦不代為追討款項。
公開範圍。刊登使角色之公開頁面對任何人可見:參考圖、識別特徵、已登錄作品及其公開佐證摘要、使用者填寫之管道(分別標示自行填寫或已驗證),以及含移轉與授權履歷(以平台帳號顯示)之登錄紀錄。規格全文、各平台 prompt、原始匯入 prompt 及佐證紀錄之細節均不公開。角色取得編號後預設公開,得逐角色隨時關閉;關閉僅隱藏頁面與市集項目,不撤回任何紀錄。
聯絡方式。刊登所附之聯絡方式將公開顯示。請留意冒名與站外詐騙;本平台絕不會要求任一方付款予平台以完成交易。
本平台依美國《數位千禧年著作權法》(17 U.S.C. § 512)之通知—移除程序處理侵權主張,並於全球一體適用同一程序。

提出通知。請寄至上開指定代理人(建議以 email 為之,主旨「Copyright notice」),並載明:(1) 主張受侵害之著作;(2) 主張侵權素材之網址、登錄編號或指紋;(3) 通知人之姓名、地址、電話與電子郵件;(4) 通知人善意相信該利用未經著作權人、其代理人或法律授權之聲明;(5) 於偽證罪責下聲明通知內容屬實且通知人為權利人或經其授權;(6) 通知人之實體或電子簽名。內容不完備之通知可能不予處理。
本平台之處置。收到有效通知後,本平台移除該素材或停止對其存取,通知帳號持有人並轉交通知。登錄紀錄不予刪除(公有區塊鏈無法編輯),惟驗證端點將註明該素材已因申訴而移除。
反通知。帳號持有人如認為素材係因錯誤或誤認而遭移除,得向同一地址提出反通知,載明:該素材及其原所在位置;於偽證罪責下善意相信係因錯誤或誤認而遭移除之聲明;同意接受其地址所在聯邦地方法院(如在美國境外,則為本平台所在之任一司法管轄區)之管轄並接受申訴人送達;及其姓名、地址與簽名。本平台將反通知轉交申訴人,除申訴人告知已向法院起訴外,得於不少於 10 個、不多於 14 個營業日後回復該素材。
累犯。本平台於適當情形下終止累犯侵權使用者之帳號。明知不實而提出通知或反通知者,可能依 17 U.S.C. § 512(f) 及相當法律負損害賠償責任。
貼文。已設定個人頁網址之使用者得發佈貼文:文字,並得附上一件其自己之公開角色或作品、最多四張圖片或一支影片,以及一則連結。附上連結時,本平台擷取該網頁以製作預覽(標題、摘要與圖片),並與貼文一併儲存;YouTube、StreetVoice、Suno 及 SoundCloud 之連結以該平台自身之播放器播放。使用者僅得上傳其有權分享之圖片與影片;上傳檔案計入其儲存空間。貼文顯示於其個人頁及其追蹤者之動態,他人得對之按喜歡、留言、轉發、引用、收藏及檢舉。使用者得隨時刪除其貼文,刪除即移除該貼文。本條關於留言之規定——內容責任、授權、管理,以及不變更登錄內容——於貼文同樣適用。貼文不予錨定。
功能內容。使用者得對本服務上公開之角色與作品按喜歡、收藏、轉發、引用轉發及留言,得對留言按喜歡,並得以個人頁網址提及其他使用者。轉發係將該項目連同其持有人名稱顯示予轉發者之追蹤者;引用轉發係轉發者自己之一則貼文並嵌入該項目,列於該項目之引用清單,有其自己之喜歡、留言與轉發;被引用之項目經刪除、設為不公開或其帳號停權時,引用貼文仍保留,但不再顯示該項目。二者均不複製該項目,亦不使轉發者取得該項目之任何權利。收藏為私人性質。項目不再公開時,其喜歡、收藏、轉發、引用與留言即不再顯示。
留言為使用者間之交流,非紀錄。留言不構成異議、通知或權利主張,不變更登錄紀錄、任何佐證檢驗或已錨定之指紋,亦不予錨定。使用者間就角色或作品之創作、持有或權利歸屬所生爭議,本平台不予裁決,應由當事人自行解決,包括循司法途徑。著作權侵權之主張依第四之三條處理。
使用者之責任。使用者就其留言內容自負其責,不得張貼違法、侵權、妨害名譽、騷擾或欺罔之內容、與該項目無關之廣告,或他人之個人資料。留言之權利仍歸使用者所有;使用者授予本平台於留言存續期間,於本服務上儲存及顯示該留言之全球、非專屬、免權利金之授權。
管理。留言與引用轉發須已設定個人頁網址。角色或作品之持有人得設定何人得留言及引用(所有人、其追蹤者、其追蹤之人或關閉)、置頂留言、刪除其項目下之留言,並得封鎖特定帳號。任何使用者均得封鎖其他帳號:被封鎖之帳號不得再追蹤、按喜歡、轉發、引用、留言或傳送訊息予封鎖者,雙方之追蹤關係予以解除,且雙方於動態與搜尋中互不顯示;被封鎖之帳號不會收到通知。任何使用者得靜音其他帳號,靜音僅影響該使用者自己所見內容與所收通知。本平台不於留言刊出前審閱,對留言內容不負責任,惟得刪除留言及貼文或限制留言功能(包括經檢舉後),並得就重複濫用依第十四條處理。本平台處理檢舉後,將處理結果通知檢舉人(不揭露被檢舉人),並於留言或貼文經移除時通知作者及其理由。API 金鑰不得追蹤、按喜歡、留言、引用、轉發、發文、收藏、靜音、封鎖或傳送訊息。留言經刪除者,其內文即予刪除而非隱藏;使用者刪除帳號時,其留言以同一方式刪除。
介紹之授權。使用者就其於本服務上設為公開之角色或作品,授予本平台全球、非專屬、免權利金之授權,得於宣傳本服務之社群媒體帳號、官網、電子報及簡報中重製、展示該角色或作品,並得裁切、縮放、加框及加註說明文字,但不為其他變更。本授權以使用者自身享有之權利為限。
署名。本平台將標示使用者之顯示名稱,並連結至該項目之公開頁。
停止介紹。項目經設為不公開或刪除後,本平台不再用於新貼文。使用者得寄信至 support@openstela.io 要求下架介紹其角色或作品之既有貼文,本平台將予下架。
不得利用本服務建立、上傳或生成下列內容:
亦不得:規避使用上限或流量限制;擷取、轉售或以競爭性服務形式再散布本服務或其產出;探測或攻擊基礎設施;或以自動化方式建立帳號。
使用者保證其對所上傳素材擁有一切必要權利,包含素材中可辨識之人的同意。使用者同意就因違反本條所生之第三人請求,對本平台負賠償責任。
零容忍。本服務不容許不當內容與濫用帳號。任何人均得檢舉角色、作品、貼文、留言或帳號,並得封鎖其他帳號(第四之四條)。本平台於 24 小時內處理不當內容之檢舉:違反本條或第四之四條之內容予以移除,行為人之帳號並得予暫停或終止。
違反上開規範者,本平台得暫停或終止其帳號;情節非重大者,通常先行告知並要求改正。
適配包之提供,係供使用者在本平台未營運之平台上使用其角色。使用該等平台應適用該平台之條款,而非本條款。對於未提供官方 API 之平台,本平台不代為操作使用者帳號,亦絕不索取該等帳號之憑證。
平台行為隨時可能變動。本平台提供之操作指引,係基於特定時點之自行實測,不保證現仍有效。
登記免費:登記角色、綁定作品、契約、交易室、私訊及上鏈均不收費。各帳號受使用上限之限制(角色數量、已上傳作品之儲存空間、每日匯入次數),以本服務內顯示者為準。每個帳號前 50 隻角色免費;其他上限,善意使用而達上限者,請聯絡 support@openstela.io。
角色位加購包(選購):超過 50 隻角色者,得一次買斷加購角色位:加 15 隻美金 4.99 元、加 50 隻美金 12.99 元、加 100 隻美金 19.99 元。加購包得疊加、不會過期,並保留於帳號;非訂閱,不會自動續費。
除選購之角色位加購包外,唯一之收費為第四之二條所定之成交手續費,於交易進入移轉階段時由賣方支付。現行費率與最低額以本服務內及交易室所示者為準。
改版前之訂閱與 credits:2026 年 9 月 19 日前銷售之訂閱、加購角色位及 credits 包已停止提供。依該等方案購得之角色位仍保留於帳號。credits 餘額於本服務內已無用途;購買 credits 包而有未使用餘額者,請聯絡客服,本平台將予退款。
金流處理:成交手續費及角色位加購包由 Polar Software Inc. 以 Merchant of Record(登記賣方)身分處理。亦即該筆付款之登記賣方為 Polar 而非 OpenStela:付款、發票及應加徵之銷售稅或 VAT 均由 Polar 處理。就付款本身,適用 Polar 之條款與隱私權政策。Polar 僅處理手續費及角色位加購包;價金由買賣雙方自行結算,不經 Polar 亦不經本服務。
於 iPhone/iPad App 內付款:使用者於 OpenStela 之 iPhone 或 iPad App 內支付成交手續費者,係經由 Apple 之應用程式內購買付款,由 Apple(而非 Polar 或 OpenStela)依 Apple 之條款處理。App Store 之價格採固定級距,故 App 內收取之金額,為依第四之二條計得之手續費向上取至最接近之 App Store 價格級距;確切金額於使用者確認付款前顯示。價金本身不經 Apple。
價格以美元計價,不含 Polar 或 Apple 依法應於結帳時加收之稅額。
移轉執行後,成交手續費不予退還,因其所對價之工作——搬移角色包、逐檔比對、錨定紀錄——業已完成。移轉失敗且無法完成,或本服務依第四之二條回復交易者,手續費全額退還。
以下三點不受前段限制:
角色位加購包:購買後 14 日內,且該包之角色位尚未使用(即帳號角色數未超過購買前之上限)者,得申請全額退款;逾期或已使用者,因角色位業已交付,不予退款。前揭三點於加購包亦適用。
如遇誤扣款,請聯絡 support@openstela.io——該等情形依個案處理,不適用本條規定。
每個角色包得取得一組編號(AVL-XXXXXX)及一份登錄紀錄。該紀錄載有下列資料之密碼學雜湊值(SHA-256):角色各版本之規格(非圖片)、每件作品之著作紀錄及每筆綁定紀錄、每筆佐證與管道紀錄,以及每份已簽契約與移轉事件(第四之二條)。未綁定角色而單獨登錄之作品,其著作紀錄以同一方式錨定。雜湊值每日以 Merkle 樹批次彙整,樹根寫入公有區塊鏈(Arbitrum One)。
紀錄卡片。登錄紀錄另以卡片呈現——角色為「角色身分證」,作品為「著作紀錄證」(編號以 W- 加作品識別碼表示,僅係顯示格式,非另行核發之編號)。卡片於紀錄作成時即載明指紋;鏈上交易及樹根於每日批次後補載。使用者得下載及分享卡片。卡片僅係紀錄之呈現:本條關於紀錄所能證明及不能證明之規定,於卡片同樣適用;卡片並載明「時間存證,不證明權利歸屬」。使用者不得以卡片作為著作權、所有權或著作人身分之證書對外表示。
所能證明者:某一特定資料——規格、著作紀錄、作品綁定、佐證結果、契約文本——於該筆交易時點或之前即以此形式存在,且其後未經變更。
不能證明、且本平台不作此主張者:
登錄紀錄隨角色移轉,本身非買賣標的。登錄編號不得單獨出售、贈與或移用於其他角色,亦不得與角色之檔案及作品分離。角色經交易室讓與時(第四之二條),整個角色——檔案、作品、佐證與登錄紀錄,連同僅綁定於該角色之作品(第四之一條)——移入新持有人之帳號,並於紀錄履歷附記該次移轉;編號不變。專屬授權時,紀錄留於授權人名下並附記授權事件。於交易室以外任何宣稱移轉登錄編號之行為,就本服務而言均不生效力,亦不反映於紀錄。
本平台不為使用者保管任何數位資產。上鏈所用錢包僅供支付交易手續費。
已上鏈資料無法刪除:公有區塊鏈僅能附加。所錨定者為 32 bytes 之雜湊樹根,不含個人資料、不含可讀內容,惟將永久留存於該鏈上,包括使用者刪除帳號之後。其所對應之檔案、規格全文、著作紀錄及佐證細節由本平台保管,並隨帳號刪除。
於包含美國、歐盟與台灣在內之多數法域,欠缺足夠人類創作投入之 AI 生成物,可能全然不受著作權保護。美國著作權局已表明,表達性元素由 AI 產生而無人類著作行為者不予登記,角色亦僅於由人類創作選擇所刻劃之範圍內受保護。本服務不改變此一狀態。本平台不就使用者產出之任何內容或所登錄之任何角色是否受保護作任何表述;角色身分證、佐證紀錄與上鏈均不改變其法律地位;角色之來源紀錄(何者為人類創作、何者為 AI 生成)為使用者自行之聲明,非本平台之認定。買受人或被授權人應於締約前閱讀該紀錄。
帳號存續期間,使用者得隨時自介面下載角色包——包含規格、參考圖集與適配包,格式為開放格式。此為刻意的設計承諾:本產品之立論即為角色可攜,以資料留置造成鎖定將自相矛盾。帳號項下全部資料之完整副本(含模型處理事件與同意紀錄),得隨時於「設定 → 你的資料」自行下載;亦得來信 support@openstela.io 索取。
本服務以「現狀」及「現有可用狀態」提供。服務運行於共用基礎設施,並設有排隊機制與每日上限,不保證運算容量,亦不承諾任何可用率水準或服務等級協議。
本服務不產製影像。於使用模型之場合——自使用者上傳之圖片草擬規格,以及執行佐證檢驗——該模型具非決定性,本平台不保證可達成任何特定草稿或檢驗結果。
本條載明本平台決定停止營運本服務時所將採取之作為。本條不變更第十二條:本平台仍不承諾任何可用率,本條亦不得解釋為本服務將持續提供之承諾。
本條不生本平台應繼續營運本服務、於關閉後回復本服務,或保存前項錨定資料以外任何檔案之義務。使用者自行保存副本仍屬其自身責任;第十一條之存在即為使其得隨時取回。
於法律允許之最大範圍內,本平台不負任何默示擔保責任,包含可商用性、特定目的適用性及不侵權。
責任總額上限:就因本服務所生或與之相關之一切請求,本平台之責任總額以下列較高者為限:(a)請求原因事實發生前十二個月內使用者已支付之金額,或(b)美金 100 元。
本平台不就間接、附隨、特殊或衍生性損害負責,亦不就利潤、營收、資料或商譽之損失負責。
本條款不排除詐欺責任、因過失致死或人身傷害之責任,以及其他依法不得排除之責任——包含台灣消費者保護法及其他法域同等法律所定之消費者強制權利。
使用者得隨時停止使用本服務,並得來信 privacy@openstela.io 申請刪除帳號及其內容(處理方式見隱私權政策)。
使用者重大違反本條款、法律有所要求,或繼續營運將使本平台或其他使用者暴露於法律風險時,本平台得暫停或終止其存取。終止時,除法律另有義務外,本平台將依隱私權政策刪除使用者內容——已錨定至公有區塊鏈而無法刪除者除外。
帳號經停權期間,其個人頁、貼文及留言對他人不予顯示,且不得發文、留言、互動或傳送訊息;其資料予以保留,解除停權後回復原狀。帳號持有人將看到停權理由。
本平台得修訂本條款。重大變更將於生效前至少十四日以 email 或站內通知,逾期繼續使用視為接受。不接受變更者,得停止使用本服務並取消訂閱。
本條款以中華民國(台灣)法為準據法,排除其國際私法規定之適用。使用者與本平台間之爭議,雙方合意以台灣台北地方法院為第一審管轄法院;惟使用者如為消費者,本條不剝奪其依居住國強制規定所受之保護,亦不剝奪其於該國法律有所規定時向該國法院起訴之權利。
先行協商。提起訴訟前,請先來信 support@openstela.io 說明爭議。本平台將於 30 日內回覆並設法以非正式方式解決。此步驟不影響使用者之法律權利。
使用者間之契約。本條僅規範使用者與本平台間之爭議。於交易室成立之契約,其準據法與管轄由雙方自行約定;標準範本預設為美國紐約州法及其法院。
使用者透過自 Apple App Store 下載之本平台 App 使用本服務者:
關於 App 之問題、申訴與請求,請寄至 support@openstela.io。使用者透過 Google Play 取得本平台 App 者,其下載及經由 Google Play 所為之付款,並適用 Google Play 之條款。
本條款連同隱私權政策,構成使用者與本平台間就本服務之完整合意。任一條款經認定不可執行者,其餘部分仍有效。本平台未行使某項權利,不構成拋棄。使用者不得讓與本條款下之權利;本平台得於通知後將其讓與繼受主體。
